Terms of service.
These Terms of Service ("Agreement") govern the use of services provided by Onground Systems, a subsidiary of University Mobile Detailers LLC ("Company"), to clients who request and utilize aircraft detailing services ("Client"). By hiring the Company, you, the client, agree to comply and be bound by this Agreement.
1. Scope of Services
1.1 Onground Systems provides an online platform for scheduling aircraft detailing services, connecting clients with qualified vendors who will perform detailing work on aircraft.
1.2 Clients may select and schedule services through the platform, which include various levels of interior and exterior detailing, as well as specialized services.
1.3 The Company does not provide detailing services but merely serves as a platform for connecting Clients and Vendors.
2. Client Responsibilities
2.1 Accurate Information
Clients must provide accurate and complete information, including aircraft details (such as tail numbers), service requests, and payment details.
2.2 Service Access
Clients are responsible for ensuring that the aircraft is accessible for the vendor to perform services at the scheduled time and location.
2.3 Payment
Clients agree to pay for services through the Onground Systems platform according to the selected services and pricing. Payments are processed via the platform’s integrated payment system.
3. Vendor Responsibilities
3.1 Vendor Selection
Onground Systems facilitates the selection of vendors through the platform. All vendors are independent contractors. The Vendor is responsible for providing the services requested, following the scope of work, and complying with all relevant regulations and guidelines, including maintaining necessary insurance.
3.2 Performance of Work
Vendors must complete the services according to the specifications set forth in the booking request. If services are incomplete or substandard, the Client should report the issue directly to the vendor within 48 hours of the service issue.
4. Liability and Limitation of Liability
4.1 Liability for Damages
Onground Systems is not responsible for any damage to the aircraft or its contents during the performance of detailing services. Any damage or incident must be reported directly to the vendor and the Company immediately. Communication must be made with the Company when issues arise.
4.2 No Warranty on Vendor Performance
Onground Systems does not guarantee the performance or quality of services provided by the vendor. Any complaints regarding the work performed must be resolved directly with the vendor.
4.3 Indemnification
The Client agrees to indemnify and hold harmless Onground Systems, its affiliates, employees, and agents from any claims, damages, or liabilities arising from the services provided by the vendor.
5. Cancellations and Refunds
5.1 Cancellation Policy
Clients may cancel services through the platform with 24 hour advanced notice prior to the scheduled service time to avoid cancellation penalties. Cancellations received less than 24 hours prior to the service will incur a cancellation fee equal to 25% of the cost of the service. All services booked within 24 hours will incur a cancellation fee equal to 25% of the cost of the service in the event of cancellation.
5.2 Refunds
Refunds will only be issued in cases where services were not provided, or were not completed to the agreed standard. Clients must report such issues directly to Onground Systems within 48 hours for a refund to be reviewed.
6. Intellectual Property
6.1 Ownership of Platform
All rights to the Onground Systems platform, including any software, content, and design, remain the exclusive property of Onground Systems. You may not copy, distribute, modify or create any derivative products from the platform with the expressed written consent of the Company.
6.2 Licenses
Clients are granted a limited, non-exclusive license to use the platform to schedule and manage detailing services.
7. User Conduct
7.1 Platform users are expected to behave professionally and respectfully. Any inappropriate behavior will result in immediate platform suspension and all decisions shall be at the sole discretion of the Company.
7.2. You agree not to share login credentials with any unauthorized user
8. FBO Services and Additional Charges
8.1 FBO Charges
In addition to the services provided through Onground Systems, certain charges may be assessed by the Fixed Base Operator (FBO) at the location of service. These charges, which may include but are not limited to callout fees, escort services, ramp fees, overnight parking fees, and other service-related costs, are the sole responsibility of the Client.
8.2 Payment of FBO Fees
The Client agrees to pay any and all fees assessed by the FBO directly to the FBO or through the relevant billing process, as specified by the FBO. Onground Systems is not responsible for any FBO-related charges.
8.3 Notification of Additional Charges
Onground Systems will notify the Client of any known FBO charges during the booking process or prior to service, when such charges are available. However, the Client is ultimately responsible for confirming and settling any additional fees that may be incurred during the course of the service.
9. Termination
9.1 Termination by Onground Systems
Onground Systems reserves the right to suspend or terminate the Client’s account if the Client violates these Terms of Service or engages in any unlawful activity.
9.2 Termination by Client
Clients may terminate their account with Onground Systems at any time by contacting Onground Systems. Any pending service requests or payments will be processed as per the terms outlined in this Agreement.
10. Dispute Resolution
10.1 Governing Law, No Jury Trial, Attorney’s Fees.
This Agreement shall be governed by and construed in accordance with the laws of the State of California without reference to its choice of law provisions. Venue shall be exclusively in the state or federal courts of competent jurisdiction located in Sacramento, California, and each Party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action or proceeding. The Parties hereby irrevocably and unconditionally waive, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in any legal action, proceeding, cause of action or counterclaim arising out of or relating to this Agreement, or the transactions contemplated hereby. In the event there is a dispute regarding this Agreement or the transaction contemplated herein, the non-prevailing Party shall pay the prevailing Party’s reasonable attorneys’ fees, costs and expenses.
11. Liability for Personal Property and Theft
Onground Systems is not responsible for any personal property left in or on the aircraft by vendors or clients. This includes any items that are forgotten or misplaced during the detailing service. In the event that items are left behind, the client and vendor are responsible for coordinating the return or handling of such items.
Additionally, Onground Systems is not liable for any theft, loss, or damage to personal property that may occur during the service. Any claims regarding theft should be directed to the vendor performing the service, as Onground Systems does not control or monitor the actions of individual vendors beyond facilitating the service booking and payment process.
12. Miscellaneous
12.1 Force Majeure
Onground Systems shall not be held liable for any failure to perform due to events beyond its reasonable control, such as acts of God, pandemic, war, fire, earthquake, explosion, governmental expropriation, and governmental law, regulation or decree
12.2 Entire Agreement
This Agreement constitutes the entire agreement between Onground Systems and the Client and supersedes all prior agreements or understandings regarding the subject matter herein.
12.3 Amendments
Onground Systems reserves the right to amend these Terms of Service at any time. Any changes will be communicated to the Client, and continued use of the platform after such changes will constitute acceptance of the updated terms.
